1. Confidential Information

"Confidential Information" includes, without limitation, all proprietary information, designs, persona intelligence, behavioural models, data structures, methodologies, frameworks, documentation, outputs, and derivative insights provided by or on behalf of AdVaultAI, whether disclosed orally, visually, digitally, or in written form.

2. Purpose

AdVaultAI intends to disclose the Confidential Information to the Recipient for the purpose of the licensed use as specified in the Recipient's subscription or agreement. Specifically, the information is provided for the Recipient's authorised internal business use only.

3. Permitted Use

The Recipient agrees to use Confidential Information solely for the Purpose explicitly authorised in writing by AdVaultAI and within the licensed scope. No other use is permitted without first obtaining the written agreement of AdVaultAI.

Neither this Agreement nor the supply of any information grants the Recipient any licence, interest or right in respect of any intellectual property rights of AdVaultAI except the right to use the Confidential Information solely for the Purpose.

4. Prohibited Actions

The Recipient shall not, directly or indirectly:

• Disclose Confidential Information to third parties
• Redistribute or resell raw intelligence assets
• Create derivative datasets or competing systems
• Train models or algorithms on Confidential Information
• Reverse engineer structure, logic, or methodology
• Claim ownership or authorship of the intelligence

5. Security & Safeguards

The Recipient shall treat all Confidential Information as strictly confidential and shall maintain all necessary security precautions, including the best available industry practices, to prevent unauthorized access, use, copying or disclosure of the Confidential Information.

The Recipient undertakes to keep the Confidential Information secure and not to disclose it to any third party except to its employees who need to know the same for the Purpose, who know they owe a duty of confidence to AdVaultAI and who are bound by obligations equivalent to those in clause 3 and 4 above and this clause 5.

6. Return Protocol

Upon termination of this Agreement, or upon AdVaultAI's request, the Recipient shall immediately return all copies and records of Confidential Information in their possession, and will not retain any copies or records of the Confidential Information.

7. Breach & Remedies

The Recipient acknowledges that any breach of this Agreement may cause irreparable harm for which monetary damages would be inadequate, and therefore agrees that AdVaultAI shall be entitled to immediately terminate access, seek injunctive relief and pursue any other remedies available at law without limitation.

8. Survival

Confidentiality and use restrictions shall survive termination of access indefinitely.
